The cross-border conversion of companies investing in real estate in Greece is now emerging as a particularly realistic option, in the context of the new European and national regulations governing cross-border corporate transformations.

These regulations allow greater flexibility in the structure and operation of businesses within the European Union, by, among other things, equalizing the taxation of these companies.

In this context, VDI Law Firm announced the successful completion of the first cross-border conversion of a Real Estate company from a Cypriot LTD to a Greek company, specifically the company “Rubloft Properties”.

This conversion was carried out in full accordance with the established legal framework governing cross-border conversions within the EU. This framework provides for the possibility for a company to change its legal form and transfer its registered office to another Member State, without interrupting its legal personality. In simple words, the company continues to exist normally, without dissolution or liquidation, without tax burden and with full business continuity.

In today’s legal and regulatory environment, where the management of corporate structures from Cyprus to Greece no longer offers the tax advantages of the past, cross-border conversion into a Greek company emerges as the most advantageous, secure and practical solution for businesses operating or investing in the Greek real estate market.

The VDI Law Firm team (www.vdilawfirm.com) undertook the full legal planning and implementation of the process, covering all stages of the transformation and ensuring:

  • compliance with the applicable legal framework,
  • tax harmonization and
  • the continuous and seamless operation of the business.

As Managing Partner Vasilis Economides pointed out, “the completion of this groundbreaking cross-border conversion is a milestone for Greek data and paves the way for new, more strategic corporate structure choices between Cyprus and Greece.

It reflects both the high level of our services and the trust our clients place in us in complex and demanding cross-border matters.”
