Titan SA has signed a share purchase agreement, subject to customary closing conditions, to acquire 100% of Traçim Çimento Sanayi ve Ticaret Anonim Şirketi, a company operating in the greater Istanbul region, one of the most dynamic cement markets in Turkey.
The company operates a modern plant with an annual production capacity of approximately 2.5 million tons of cement. The plant serves the growing local market and has export potential to neighboring countries and the US, while there is a plan to jointly develop a large photovoltaic park with the vendors.
According to the announcement, this strategic investment allows TITAN Group to strengthen and expand its existing core building materials business in Western Turkey, where the Group already has a presence through a cement grinding plant in the Marmara region and a pozzolan quarry, while also enhancing its export potential to the US. The acquisition is in line with the Group’s TITAN FORWARD 2029 strategic priorities, with a focus on optimizing geographic presence and accelerating growth through acquisitions.
The transaction price for the acquisition of 100% of the company’s shares amounts to approximately 190 million dollars and is expected to close in the first quarter of 2026, subject to completion of the required legal and administrative approvals. The acquisition is estimated to contribute sales of more than 140 million dollars, EBITDA of more than 50 million and will strengthen earnings per share (EPS) from 2026, with further improvement expected in the coming years thanks to synergies.
